The Role:

As the Chief Legal Counsel (CLC) at Rentoza, you will play a critical role in providing strategic legal counsel and oversight for the organisation. This position requires a legal professional with a strong background in finance deals and transaction management. The CLC will lead the legal team, ensure compliance with all applicable laws and regulations, and contribute to the overall success of the company.

Key Responsibilities:

Mergers and Acquisitions (M&A):

  • Lead and oversee the legal aspects of mergers, acquisitions, divestitures, and strategic alliances.
  • Manage due diligence processes, identifying legal risks and advising on mitigation strategies.
  • Draft, review, and negotiate transaction agreements, including letters of intent, purchase agreements, and confidentiality agreements.

Corporate Finance:

  • Provide legal guidance on a broad range of corporate finance matters, including debt and equity financings, securities offerings, and capital market transactions.
  • Collaborate with the commercial team to structure and execute financing deals in compliance with regulatory requirements.
  • Provide post transaction support to ensure legal adherence to deal covenants and prescribed matters

Deal Structuring:

  • Work closely with executive leadership to develop and structure complex financial deals.
  • Advise on deal terms and legal implications to optimize outcomes.

Legal Compliance & Litigation Management:

  • Ensure compliance with relevant laws, regulations, and industry standards in all M&A and corporate finance activities.
  • Solid understanding of regulatory frameworks governing investments in relation to Offshore investors (i.e. comply with local regulations, including registration requirements, licensing, and disclosure obligations).
  • Stay abreast of changes in legal and regulatory environments impacting the industry.
  • Potentially manage and oversee litigation matters, including disputes, arbitrations, and regulatory inquiries
  • Scale the legal collection

Risk Management:

  • Identify legal risks associated with M&A and corporate finance transactions and develop risk mitigation strategies.
  • Provide guidance on risk allocation and management in financial transactions.

Contract Negotiation:

  • Draft, review, and negotiate a wide range of corporate and commercial agreements and contracts ensuring alignment with business objectives and legal requirements, with an emphasis on clarity and practicality.
  • Ensure all legal documents are in compliance with applicable laws and regulations.
  • Lead negotiations for a variety of financial agreements, including loan agreements, subscription and shareholder agreements, securities agreements, incorporation agreements and partnership agreements.
  • Ensure that contract terms align with the company's strategic goals and legal standards.

Leadership:

  • Manage and lead the legal team, providing guidance and support in M&A and corporate finance matters.
  • Facilitate board meetings and maintain corporate records.
  • Foster a collaborative and high-performance legal department.

Policy Development:

  • Develop, implement, and enforce policies and procedures related to M&A and corporate finance activities.
  • Ensure alignment with legal requirements and industry best practices.

Legal Advisory & Strategy:

  • Provide expert legal advice on a broad range of legal issues, including payments compliance, fintech regulations, consumer protection, POPIA, NCR employment law, intellectual property, data privacy, contract negotiations, and compliance matters
  • Develop and implement legal strategies to support the organization's business growth ambitions and business objectives.

Stakeholder Communication:

  • Communicate legal strategies and updates to executive leadership and relevant stakeholders.
  • Work closely with various departments, providing clear and actionable legal advice to support business objectives.

Financial Transactions:

  • Oversee and lead legal aspects of financial transactions, including mergers and acquisitions, joint ventures, and financing deals.
  • Review, draft, and negotiate complex financial agreements and contracts.

Transaction Management:

  • Manage the end-to-end legal process for financial transactions, from due diligence to deal closure and deal management post pay-away..
  • Collaborate with cross-functional teams to ensure legal considerations align with business objectives and strategic product initiatives.

Required Qualifications and Skills:

  • A law degree from a recognized institution. Additional qualifications or certifications in corporate law will be beneficial.
  • At least 5-8 years of experience in corporate commercial law, mergers and acquisitions and corporate finance, preferably with some experience in the fintech sector or a related field.
  • Strong understanding of the regulatory landscape in financial services and technology is a plus.
  • Proven track record in dealing with complex legal issues, contract negotiations, and regulatory compliance.
  • Exceptional drafting skills with a strong preference for plain language and clarity.
  • Proven track record of attention to detail and the ability to handle complex legal matters.
